Terms and Conditions



Article 1. Purpose of Terms of Use

UNITED PACIFICS Co., LTD. (hereinafter referred to as the “Company”) provides services of the “P.F.S. Online Shop” which the Company operates in accordance with the Terms of Use set forth hereinafter (hereinafter referred to as the “Terms”).

Article 2. Definitions

For the purpose of the Terms, the following terms shall have the meanings set forth below:

2.1
“P.F.S. Online Shop” means the website with a system which has functions for posting information on products or services to be provided and for providing products or services online, which the Company operates on the Internet in accordance with the Terms.

2.2
“Services” means services which the Company provides to users of the P.F.S. Online Shop in accordance with the Terms.
2.3
“Users” means those who have registered personal information with the Company for the purpose of using the Services provided in the P.F.S. Online Shop.

Article 3. Status of Users

If a User completes registration of his/her personal information on this site, IT MEANS THAT THE USER AGREES TO THE TERMS and a user shall acquire the status of Users of the P.F.S. Online Shop.

Article 4. Notice

The Company shall have the right, at its own discretion, to modify, add or remove contents or kinds of Services and in such case, the Company shall, as needed, notify the Users by posting information on the P.F.S. Online Shop, sending emails or using other communication means.

Article 5. Scope and Modification of Terms of Use


5.1
The Terms shall apply to all matters between the Company and Users with respect to the use of the Services and Users shall comply with the Terms in good faith in connection with the use of the P.F.S. Online Shop.

5.2
Individual provisions which the Company posts on the P.F.S. Online Shop or informs Users of in any other manner and additional provisions which the Company notifies Users, as needed, constitute part of the Terms and supersede the Terms.

5.3
The Company shall have the right, at its own discretion, to modify the Terms without the Users’ approval. In such case, the Users of services provided by the P.F.S. Online Shop shall comply with the modified Terms of Use. Such modified Terms of Use shall come into effect at the time when the Company notifies Users by sending an e-mail to the address which members notify the Company of in advance, posting information generally on the P.F.S. Online Shop or providing a notice in any other manner which the Company deems appropriate.

5.4
The Company shall not be liable for any disadvantage or damage incurred by Users due to the modification of the Terms.

Article 6. Prohibited Acts Users shall not conduct


a.
acts of using the Services except in a manner designated by the Company in the P.F.S. Online Shop,
b.
acts of using the Services while posing as a third party,
c.
acts of assigning a link to data relating to the Services to other data, etc., except in a manner authorized by the Company in the P.F.S. Online Shop,
d.
acts of having improper access to data stored on a computer which is used to operate the P.F.S. Online Shop or acts which would or might damage such data,
e.
acts of obstructing the operation of the P.F.S. Online Shop,
f.
business activities by using the Services, acts of using the Services for the purpose of gaining profits, and acts of using the Services for the purpose of preparing therefor (except when the Company provides prior written approval separately),
g.
acts of collecting or accumulating, or attempting to collect or accumulate personal information about other Users,
h.
acts which are offensive to public orders and morals,
i.
acts which are in violation of any domestic or international laws and regulations,
j.
acts of providing any antisocial forces with profits directly or indirectly, in connection with the Services, or
k.
any other acts which the Company deems inappropriate.

Article 7. Interruption or Suspension of the Services


7.1
The Company may interrupt or suspend the Services, in whole or in part, without providing the Users with prior notice, at any time any of the following events should occur, when the Company deems that:
a.
maintenance, inspection and renewal of equipment and the system used to provide the Services are implemented regularly or urgently,
b.
it is difficult to provide the Services due to force majeure events including fires, power outages or acts of God,
c.
works of Type I Telecommunications Carrier are not provided, or
d.
it is otherwise necessary to interrupt or suspend the Services by reason of operational or technical problems, or it is difficult to provide the Services due to unforeseen circumstances.

7.2
The Company shall not be liable for any disadvantage or damage incurred by the Users or any third party that may result from any interruption or suspension of the Services for any reason.

 

Article 8. Disclaimer with respect to Other Websites

When the Company offers any link to other websites in various services which the Company provides in the P.F.S. Online Shop or any third party offers a link to other websites, the Company shall not be responsible for websites which the link represents, other than the P.F.S. Online Shop. such case, the Company also shall not be responsible for contents, advertisements, products and services which are included in such websites or made available on such websites. The Company shall not be liable, either, for any damages arising from or in relation to such contents, advertisements, products and services.

Article 9. Copyright


9.1
Users shall not be able, in any manner, to use any information provided through the P.F.S. Online Shop, for the purpose of reproduction, sales, publication or other acts that go beyond the scope of the private use stipulated in the Copyright Act, without approval of the holder of such vested right.

9.2
Users shall not be able, in any manner, to cause any third party to use or disclose any information provided through the P.F.S. Online Shop, without approval of the holder of such vested right.

9.3
If any problems occur in violation of the Terms, Users shall resolve such problems at their own responsibility and expenses, and shall not cause any trouble or damage to the Company.

Article 10. Liability


10.1
The Company shall not be liable for any damages incurred by Users or any third party, which may result from or be in relation to any provision, delay, change, interruption, discontinuance, suspension or stop of the Services, any leakage or loss of provided information, etc., or other aspects of the Services.
10.2
If Users cause any damage to any third party from their use of the Services, Users shall resolve the problems at their own responsibility and expenses and shall not cause any damage to the Company.
10.3
If the Company suffers any damage resulting from Users’ acts in violation of the Terms, or wrongful or illegal acts, the Company may make a claim for general damages which may arise directly and actually against such Users.

Article 11. Privacy Policy

The management and dealing of information about Users collected by the Company in connection with the use of the Services by Users shall be in accordance with the Privacy Policy specified by the Company separately.

Article 12. Governing Law

The Terms shall be construed, interpreted and enforced in accordance with and governed by the laws of Japan.

Article 13. Agreement Jurisdiction

Any disputes which may arise between the Company and Users in Japan in connection with the Terms shall be settled exclusively by a district court which has jurisdiction over the location of the head office of the Company in the first instance.

Article 14. International Arbitration

Any international disputes, controversies or differences which may arise between the Company and Users from or in relation to the Terms shall be finally settled by arbitration in Tokyo in accordance with the Commercial Arbitration Rules of Japan Commercial Arbitration Association. The original use of terms is the English-language version.With respect to the interpretation of expressions, etc. in the Terms, the original version supersedes any others.
Supplementary Provision
Effective Date
The Terms shall come into effect as of February 01, 2016.
